These Terms of Service (the "Terms") constitute a legally binding agreement between you and RK Web Solutions ("Company", "we", "us" or "our"), operating under the brand Inferr AI, governing your access to and use of the Services described below. Please read these Terms carefully before using the Services.
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you are authorised to accept these Terms on its behalf, and "you" refers to that organisation. If you do not agree to these Terms, you may not use the Services.
2. Definitions
- "Services" means the website located at inferrai.com, the Inferr AI application programming interface (the "API"), the models made available through the API, and the related documentation.
- "Customer Content" means all data and content you submit to the API, including state, questions and options.
- "Output" means the answers, probabilities and other results returned by the Services in response to Customer Content.
- "API Key" means a credential issued to you by the Company that permits access to the API.
3. Access to the Services
3.1 Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services to develop and operate your own applications and internal processes, whether commercial or non-commercial.
3.2 You are responsible for maintaining the confidentiality and security of your API Keys and for all activity that occurs under them. API Keys must be used only from secure server environments and must not be embedded in client-side code, mobile applications or other publicly accessible locations. You must notify us promptly at hello@inferrai.com of any actual or suspected unauthorised use of an API Key, upon which we will revoke it.
4. Acceptable Use
You shall not, and shall not permit any third party to:
- use the Services in violation of any applicable law or regulation, or to facilitate any unlawful activity;
- use the Services to harm, harass or unlawfully discriminate against any person, including through unlawful automated decision-making;
- interfere with, disrupt or place an unreasonable load on the Services, or circumvent any rate limit, security measure or access control;
- attempt to extract, reconstruct or reverse-engineer the models, their weights or any underlying component of the Services;
- use the Services or any Output to develop, train or improve a model or service that competes with the Services; or
- sell, resell, sublicense or otherwise provide direct access to the API to third parties without the Company's prior written consent.
5. Customer Content
5.1 As between you and the Company, you retain all rights, title and interest in and to your Customer Content and Output. You grant the Company a limited licence to process Customer Content solely for the purpose of providing the Services to you.
5.2 The Company does not store Customer Content after a response has been returned and does not use Customer Content or Output to train or improve its models. The Company's handling of information is described in its Privacy Policy.
5.3 You represent and warrant that you have all rights, licences and consents necessary to submit Customer Content to the Services, and that such submission does not violate any applicable law or the rights of any third party.
6. Output
6.1 Output consists of probabilistic estimates generated by machine learning models. Output may be inaccurate, incomplete or unsuitable for a particular purpose, and the models do not verify information against external sources.
6.2 You are solely responsible for evaluating Output and for any decisions or actions taken on the basis of Output. You shall not rely solely on Output for decisions that produce legal, medical, financial, employment or similarly significant effects on individuals without appropriate human review.
7. Intellectual Property
The Services, including the models, software, documentation, trademarks and all related intellectual property rights, are and shall remain the exclusive property of the Company and its licensors. Except for the limited rights expressly granted in these Terms, no rights or licences are granted to you. Any feedback or suggestions you provide regarding the Services may be used by the Company without restriction or obligation to you.
8. Fees and Payment
8.1 Fees for the Services are as published on the Website or in the documentation, or as otherwise agreed in writing.
8.2 Payment terms will be agreed with you at the time your API Key is issued.
8.3 The Company may change its fees by giving not less than thirty (30) days' notice. Changes will not apply to usage that occurred before the effective date of the change.
9. Service Availability and Modifications
The Company will use commercially reasonable efforts to keep the Services available but does not guarantee that the Services will be uninterrupted, timely, secure or error-free. The Services may be subject to rate limits, scheduled maintenance and unplanned outages. The Company may modify, update or discontinue features or models of the Services. Where the Company intends to retire a model, it will use reasonable efforts to provide not less than thirty (30) days' notice.
10. Suspension and Termination
10.1 You may stop using the Services at any time and may request revocation of your API Keys by contacting us.
10.2 The Company may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, fail to pay amounts due, or where required by law. Where reasonably practicable, the Company will provide prior notice and an opportunity to cure.
10.3 Sections 5, 6, 7 and 11 to 16 shall survive any termination or expiry of these Terms.
11. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or uninterrupted operation.
12. Limitation of Liability
12.1 To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with these Terms or the Services, even if advised of the possibility of such damages.
12.2 To the maximum extent permitted by applicable law, the Company's total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you to the Company for the Services during the three (3) months immediately preceding the event giving rise to the claim.
12.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
13. Indemnification
You shall indemnify and hold harmless the Company from and against any claims, damages, losses and reasonable expenses, including legal fees, arising out of or relating to your Customer Content, your use of the Services in breach of these Terms, or your violation of any applicable law or third-party right.
14. Modifications to These Terms
The Company may amend these Terms from time to time. Amended Terms will be posted on this page with a revised "Last updated" date. Where changes are material, the Company will notify API customers by email before the changes take effect. Your continued use of the Services after the effective date of any amendment constitutes acceptance of the amended Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. The parties shall first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. Any dispute that is not resolved through negotiation shall be subject to the exclusive jurisdiction of the competent courts in India.
16. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements and understandings relating to their subject matter. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of the Company to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign or transfer these Terms without the Company's prior written consent; the Company may assign these Terms in connection with a merger, acquisition or sale of its business.
